Arila Zhou is a Partner in the Corporate and Securities Group and China Practice Group in HTFL’s New York office where she represents emerging growth companies, funds and investment banks with a focus on private and public transactions in relation to a broad range of corporate, private equity, capital markets and regulatory compliance matters.
Her focus is on all matters relating to:
- cross-border transactions and various securities transactions including Regulation A+, Regulation D and Regulation S Offerings, initial public offerings and secondary offerings;
- listing on U. S. stock exchanges and maintenance of public companies including the preparation and filing of periodic reports, registration statements, and other filings;
- regulatory compliance requirements and SEC investigations; and
- reorganization and M&A transactions.
Ms. Zhou is a native Mandarin speaker and has conducted extensive research in corporate law and securities law. Prior to joining HTFL, Ms. Zhou was engaged in several projects regarding improving corporate governance in China including participating in drafting legislative proposal for Company Law of the People’s Republic of China 2005. In addition, she has translated numerous documents, articles and books between Mandarin and English including Standard & Poor’s Credit Analysis of Residential Mortgage-Backed Securities (published) and China State Commercial Bank’s Non-Performing Loans: Workout and Prevention (published).
