Introduction to S-3/F-3 Shelf Takedown Offerings

A shelf registration statement is a filing with the Securities and Exchange Commission (the “SEC”) to register a public offering, usually where there is no present intention to immediately sell all the securities being registered. A shelf registration statement permits multiple offerings based on the same registration. A shelf registration can be used for sales of new securities by the issuer (“primary offerings”), resales of outstanding securities (“secondary offerings”) or a combination of both.

SPAC and a shell company typical to an RTO have similarities. However, SPAC is a clean public shell company established by the sponsor to acquire one or more targets. Compared with a non-SPAC shell company in a typical RTO, a SPAC typically presents enhanced economic prospect for the sponsors, holds the development funds in an escrow account until a business combination is completed, may have a certain number of institutional investors and is equipped with an experienced management team.
