Bio

Sharifa Hunter is a Senior Associate in HTFL’s Coral Gables, Florida office, where she is a member of the firm’s Securities/Regulatory Enforcement and Investigations, Securities Litigation/Arbitration, Broker-Dealer and Investment Adviser Compliance, Governmental Investigations, Commercial Litigation/Arbitration, and Capital Markets practice groups. Ms. Hunter is licensed in Florida and Washington, D.C.

As a member of the firm’s litigation team, Ms. Hunter has represented numerous individual and institutional clients in investigations and proceedings brought by various offices and divisions of the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), and state securities regulators. She has also represented multiple public companies and their officers/directors in class action, shareholder derivative actions, and various other complex commercial litigation matters. Ms. Hunter has represented clients in arbitration matters before FINRA’s Dispute Resolution Forum, the American Arbitration Association (AAA) and its International Centre for Dispute Resolution (ICDR), and JAMS. Ms. Hunter has also represented clients who provided information to the SEC through its Whistleblower Program.

As part of the firm’s transactional team, Ms. Hunter represents underwriting clients by drafting underwriting agreements and related documents, and assists in the preparation and review of corporate and regulatory filings in connection with public offerings. She also assists clients in satisfying their SEC and FINRA-mandated regulatory requirements by overseeing due diligence reviews to ensure adequate disclosures in such documents.

Prior to joining the firm as a Senior Associate, Ms. Hunter was in-house Counsel and Compliance Associate at a global FINRA-member brokerage firm where she advised the firm and its personnel on legal, regulatory, and compliance issues. While serving as in-house Counsel, Ms. Hunter customarily responded to regulatory inquiries, interfacing with regulators in a manner that preserved firm resources and enhanced the firm’s relationship with the regulators. She designed and conducted ongoing training for the firm and its personnel, and monitored and updated the firm’s and its investment advisory affiliate’s Written Supervisory Procedures as needed.
